Terms of Service

These Terms of Service govern your access to and use of FrameOps, a studio management platform operated by Ink & Code Labs. By creating an account or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement. By using FrameOps, you represent that you meet these requirements and agree to comply with these Terms of Service and all applicable laws.

2. Description of Service

FrameOps is a studio management platform for professional photographers that includes:

  • Client relationship management (CRM)
  • Proposals and contracts
  • Financial tracking and invoicing
  • AI-assisted tools and automations
  • Client galleries
  • Business Brain (AI-powered studio knowledge base)

3. Account Registration

You agree to provide accurate and complete information when creating your account. You are responsible for maintaining the confidentiality of your account credentials and must notify us promptly at support@frameops.app if you suspect unauthorized access. You are responsible for all activity that occurs under your account.

4. Subscription Plans and Billing

FrameOps offers the following subscription plans:

  • Starter — $19.99/month
  • Studio — $29.99/month
  • Pro — $59.99/month

A 14-day free trial is available with no credit card required. After the trial, a valid payment method is required to continue using the Service. Subscriptions are billed monthly. We will provide 30 days' notice of any price changes. Pro subscribers are locked in at the price in effect at the time of their signup.

5. Acceptable Use

You agree not to:

  • Violate any applicable laws or regulations
  • Upload harmful, illegal, or malicious content
  • Reverse engineer, decompile, or extract source code from the platform
  • Scrape, crawl, or systematically extract data from the Service
  • Use AI features to deceive or defraud clients
  • Resell or redistribute access to FrameOps without written permission

6. User Content

You retain full ownership of all content you upload or create within FrameOps — including client records, contracts, invoices, photos, and documents. By using the Service, you grant us a limited, non-exclusive license to process your content solely to provide the Service to you. Your content is never used to train AI models.

7. Third-Party Services

FrameOps integrates with third-party services including Google (Calendar, Drive, Sheets) and Google Gemini for AI features. These services are governed by their own terms and privacy policies. We are not responsible for the availability or conduct of third-party services.

8. Termination

Either party may terminate this agreement at any time. If you cancel, you retain access through the end of your current billing period. Following cancellation or termination, you have a 30-day window to export your data before it is permanently deleted. We reserve the right to terminate accounts immediately for material breach of these Terms.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. INK & CODE LABS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, INK & CODE LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law principles. Any disputes arising under these Terms that are not subject to arbitration (see Section 12) shall be subject to the exclusive jurisdiction of the courts of Greene County, Missouri.

12. Dispute Resolution & Arbitration

12.1 Informal Resolution First

Before filing any formal claim, you agree to contact us at support@frameops.app and give us 30 days to attempt to resolve the dispute informally. Most concerns can be resolved this way.

12.2 Binding Arbitration

If we cannot resolve a dispute informally, you and Ink & Code Labs agree to resolve it through binding individual arbitration under the rules of the American Arbitration Association (AAA), rather than in court. The arbitration shall be conducted in Greene County, Missouri, or remotely if both parties agree.

12.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted on an individual basis only, not as a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than arbitration, you and Ink & Code Labs each waive any right to a jury trial.

12.4 Exceptions

Either party may bring an individual claim in small claims court. Either party may also seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.

13. Force Majeure

Ink & Code Labs shall not be liable for any failure or delay in performance of its obligations under these Terms where such failure or delay results from any cause beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemic, war, terrorism, civil unrest, government actions, power outages, internet service disruptions, third-party service failures (including cloud providers, payment processors, or AI providers), or any other cause beyond our reasonable control. We will resume performance as soon as reasonably practicable after the force majeure event ends.

14. General Provisions

14.1 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions of these Terms shall continue in full force and effect.

14.2 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Ink & Code Labs regarding the Service and supersede all prior agreements or understandings.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Ink & Code Labs.

14.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets, with notice to you.

15. Changes to Terms

We may update these Terms of Service from time to time. For material changes, we will notify active users by email or in-app notice at least 14 days before the changes take effect. Continued use of FrameOps after that date constitutes acceptance of the updated Terms.
